CyberCLI Terms of Service

These Terms of Service ("Terms") govern your access to and use of CyberCLI, available at
https://cybercli.com, and any related account, checkout, licensing, documentation,
support, or transactional services operated by CyberCLI LLC, a Nevada limited liability company
(Nevada Entity ID E57621542026-4) ("CyberCLI", "we", "us").
1. Acceptance of Terms
By creating an account, purchasing a subscription, downloading CyberCLI, installing CyberCLI, or otherwise using the service, you agree to these Terms.
If you use CyberCLI on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "Customer" refer to that entity.
If you do not agree to these Terms, do not use CyberCLI.
2. Description of Service
CyberCLI is a sovereign, agentic AI security operations product delivered as a single binary that customers install and run on their own hardware, virtual machines, LXC containers, or Docker environments.
CyberCLI orchestrates open-source security tools and, at eligible paid tiers, commercial-vendor connectors. The product is designed to help customers operate local security monitoring, alerting, investigation, compliance mapping, and AI-assisted security workflows.
CyberCLI is software. It is not a managed detection and response service, managed security service, outsourced SOC, monitoring service, incident response retainer, or professional services engagement. We do not monitor your environment, review your alerts, access your logs, operate your security stack, or respond to incidents unless separately agreed in a signed services agreement.
You are responsible for installing, configuring, operating, and maintaining CyberCLI and the systems it monitors.
3. Account Registration
CyberCLI accounts use passwordless magic-link authentication tied to your email address.
You agree to provide accurate account information and to keep your email account secure. Access to your CyberCLI account depends on access to your email inbox. We are not responsible for unauthorized access caused by compromise of your email provider, mailbox, device, or organization identity system.
Each account is associated with one email address. You may not share account access except as permitted by your subscription tier, administrative role configuration, or written agreement with us.
4. License Grant
Subject to these Terms and your applicable subscription tier, CyberCLI grants you a limited, non-exclusive, non-transferable, revocable license to install and use CyberCLI for your internal business security operations.
CyberCLI uses an offline license verifier. The engine verifies an EdDSA-signed JWS license against a public key bundled in the binary. The verifier does not phone home.
Your license is single-tenant and bounded by your purchased tier, including endpoint count, connector availability, role availability, expiration date, and other license metadata.
An "endpoint" means a distinct host, workload, virtual machine, containerized monitored host, user device, server, network security appliance, cloud workload, or other monitored asset that CyberCLI is configured to observe, protect, inventory, or analyze. We may clarify endpoint counting rules in documentation for specific deployment models.
You may not:
- Modify, bypass, disable, forge, or circumvent license enforcement.
- Reverse engineer the license signature system except to the extent expressly permitted by law.
- Share, resell, sublicense, lease, rent, or transfer your license.
- Use one license across multiple tenants unless expressly allowed in writing.
- Exceed the endpoint count or feature limits of your tier.
5. Subscription, Billing, and Cancellation
CyberCLI offers annual and monthly subscription plans, depending on tier.
Annual plans are billed in advance for the applicable subscription year. Monthly plans are billed monthly and require 30 days' cancellation notice. A monthly cancellation may result in one final billing cycle.
Unless canceled, subscriptions automatically renew for the same billing cycle at the then-current price, except where a valid Founder Pro Lifetime Price Lock applies.
Payments are processed by Stripe. We do not receive or store full payment card numbers or plaintext payment method details on our servers.
You authorize us and Stripe to charge your selected payment method for subscription fees, renewals, taxes, and other amounts due.
6. Founder Pro Lifetime Price Lock
Founder Pro is an annual-only plan available to eligible customers who purchase during the Founder window, currently scheduled to run through January 1, 2028.
Founder Pro provides a lifetime renewal price lock at $299 per year for the original subscribing account, so long as the subscription remains continuously active and in good standing.
The Founder Pro Lifetime Price Lock is void if:
- You receive a refund for the Founder Pro purchase.
- Your Founder Pro subscription lapses, expires, is canceled, or is not renewed on time.
- You transfer or attempt to transfer the subscription without our written consent.
- Your account is terminated for breach of these Terms.
If the lock is voided, any later purchase will be at the then-current standard Pro price, currently $500 per year or $46 per month.
7. Refund Policy
CyberCLI offers a 14-day no-questions full refund from the original purchase date for all paid tiers.
To request a refund, contact billing@cybercli.com from the email address associated with your account.
For Founder Pro, receiving a refund permanently voids the Founder Pro Lifetime Price Lock for that purchase. If you later re-buy CyberCLI, you will be eligible for standard Pro pricing, not the Founder Pro $299 annual price.
Refunds do not limit any legal rights you may have under applicable law.
8. Acceptable Use
You may use CyberCLI only for lawful security operations on systems you own, control, administer, or are expressly authorized to test or monitor.
You may not use CyberCLI to:
- Scan, monitor, access, attack, or surveil third-party systems without authorization.
- Conduct unlawful surveillance or collect data in violation of privacy, employment, wiretap, computer misuse, or cybersecurity laws.
- Circumvent license limits, tier limits, endpoint limits, or connector restrictions.
- Reverse engineer, forge, or bypass license signatures or entitlement controls.
- Resell access to CyberCLI except under a written reseller, MSP, or enterprise agreement.
- Use CyberCLI to develop a competing product through copying, benchmarking, or extraction of proprietary functionality, except where prohibited by applicable law.
- Interfere with the security, integrity, or operation of CyberCLI's account, checkout, or licensing infrastructure.
9. Intellectual Property
CyberCLI, including its proprietary code, orchestration logic, product design, documentation, names, logos, and commercial connectors, is owned by CyberCLI LLC or its licensors.
You retain ownership of your data, configurations, detection rules, policies, playbooks, prompts, local models, logs, alerts, telemetry, and security content created by you.
Open-source tools orchestrated by CyberCLI remain governed by their own licenses. We do not claim ownership of Wazuh, Suricata, ClamAV, Falco, pfSense, AdGuard, or other third-party open-source projects.
Commercial-vendor connectors may require separate vendor accounts, permissions, API keys, or agreements.
10. Customer Data and Sovereignty
CyberCLI is designed around customer data sovereignty.
We do not collect security telemetry from your CyberCLI installation. Your alerts, logs, packet data, endpoint events, detections, investigations, and security telemetry remain inside your network unless you independently configure third-party services to receive them.
CyberCLI's AI lane runs locally by default, including through local model runtimes such as Ollama. If you configure bring-your-own-key frontier AI providers, those providers process data under your account with them, not under CyberCLI's account.
The license verifier is fully offline and does not transmit license checks, usage metrics, endpoint counts, telemetry, logs, errors, or crash reports to us.
The limited data we collect through the marketing site, account system, checkout, and transactional email is described in the CyberCLI Privacy Policy.
11. Third-Party Services
CyberCLI uses third-party services for limited business operations:
- Stripe for checkout, payment processing, invoicing, fraud prevention, and tax-related payment records.
- Resend for transactional email, including license delivery, renewal notices, account emails, and security advisories.
- Cloudflare for site hosting, DNS, Workers, D1, WAF, and Turnstile bot protection.
If you choose to use frontier AI providers through bring-your-own-key configuration, those providers are outside our control and are governed by your agreements with them.
CyberCLI may also interoperate with third-party security, identity, productivity, and network vendors. We are not responsible for third-party services, APIs, outages, terms, privacy practices, or changes.
12. Warranties and Disclaimers
CyberCLI is provided "as is" and "as available."
To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that CyberCLI will detect all threats, prevent all intrusions, identify all vulnerabilities, meet any compliance obligation by itself, operate without interruption, or be error-free.
Security outcomes depend on your environment, configuration, operational practices, third-party tools, threat model, and response process.
13. Limitation of Liability
To the maximum extent permitted by law, CyberCLI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of goodwill, business interruption, loss of data, security incidents, or costs of substitute services.
Our total liability for all claims arising out of or relating to these Terms or CyberCLI will not exceed the amounts you paid to CyberCLI during the 12 months before the event giving rise to the claim.
These limitations apply regardless of the legal theory, whether contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if we have been advised of the possibility of damages.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
14. Indemnification
You will indemnify and hold harmless CyberCLI LLC and its officers, directors, employees, contractors, and affiliates from claims, damages, liabilities, costs, and expenses arising from:
- Your use of CyberCLI in violation of these Terms or law.
- Your unauthorized monitoring, scanning, access, or surveillance of third-party systems.
- Your configurations, detection rules, prompts, policies, data, or integrations.
- Your breach of third-party terms or misuse of third-party services.
CyberCLI will indemnify you against third-party claims alleging that CyberCLI's proprietary software, as provided by us and used according to these Terms, directly infringes that third party's intellectual property rights. This obligation does not apply to claims arising from open-source components, third-party tools, your modifications, your configurations, your data, third-party services, or use outside the scope of these Terms.
15. Termination
Either party may terminate a subscription for convenience according to the applicable billing and cancellation terms.
We may suspend or terminate your account or license for cause if you materially breach these Terms, fail to pay amounts due, misuse CyberCLI, attempt to bypass license enforcement, or create legal, security, or operational risk.
Upon termination, your right to receive updates, paid features, support, and renewed license credentials ends. Your local CyberCLI installation and local customer data remain under your control, subject to the technical behavior of your license expiration and tier.
We may retain account, billing, and legal records as described in the Privacy Policy or as required by law.
16. Modifications to Terms
We may update these Terms from time to time.
We will post the updated Terms with a version date. For material changes, we will provide notice by email or through the account interface where practical.
Your continued use of CyberCLI after updated Terms become effective means you accept the updated Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. (Nevada — not Delaware — because CyberCLI LLC is formed under and operates from Nevada.)
Any dispute arising out of or relating to these Terms or CyberCLI will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Clark County, Nevada, unless otherwise required by law.
Either party may seek injunctive or equitable relief in court for intellectual property misuse, unauthorized access, confidentiality breaches, or license circumvention.
You and CyberCLI waive the right to a jury trial to the extent permitted by law. Disputes must be brought individually, not as a class, collective, consolidated, or representative action.
18. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
These Terms, together with any order form, checkout terms, or written agreement referencing them, are the entire agreement between you and CyberCLI for the service.
